TERMS & CONDITIONS OF SALE

NORMAC ADHESIVE PRODUCTS INC.

1. Acceptance of Terms

These Terms and Conditions of Sale (“Terms”) govern all sales of products (“Products”) by Normac Adhesive Products Inc. (“Normac”) to any purchaser (“Purchaser”), including direct end users, contractors, distributors, and integrators. By purchasing, receiving, or using any Normac Product, the Purchaser agrees to be bound by these Terms. No verbal agreements or representations shall modify these Terms unless expressly confirmed in writing by Normac.

2. Definitions
  • “Purchaser” means the original buyer of the Product from Normac or an authorized distributor.

  • “Authorized Distributor” means a distributor expressly appointed by Normac.

  • “Specifications” means Normac’s published technical data sheets or any written specifications agreed upon with the Purchaser.

3. Pricing & Payment

All prices are quoted in Canadian dollars unless otherwise stated. Payment terms are as stated on the invoice. Normac reserves the right to charge interest on overdue balances and to suspend delivery until payment is made in full.

4. Shipping, Delivery & Risk of Loss

Shipping dates are estimates only and are not guaranteed. Risk of loss or damage to Products passes to the Purchaser upon delivery to the carrier, regardless of who pays freight charges. The Purchaser is responsible for handling claims for in-transit damage directly with the carrier.

5. Product Warranty

Normac warrants to the original Purchaser that each Product, at the time of shipment and for the duration of its stated shelf life from the date of manufacture, when stored in its original, unopened packaging under recommended storage conditions, shall:

(a) be free from defects in design and materials (except for written designs provided by the Purchaser), and

(b) conform to applicable industry standards and Normac’s published specifications or written specifications agreed upon with the Purchaser.

This warranty applies to Products purchased directly from Normac or its authorized distributors. The warranty is void if the Product is repackaged in any container other than the original packaging provided by Normac without prior written authorization.

6. Warranty Claim Process

To initiate a claim under this warranty, the Purchaser must:

(a) provide written notice detailing the alleged defect within thirty (30) days of discovery, and

(b) ensure the affected Product is made accessible to Normac or a Normac-appointed third party for inspection, testing, or evaluation.

7. Warranty Exclusions

This warranty does not apply to Product defects or performance failures resulting from:

• natural events;

• substrate defects;

• mechanical damage;

• unauthorized additives;

• installation by non-authorized personnel;

• storage or application contrary to Normac instructions, manuals, or specifications.

8. Exclusive Remedies & Limitation of Liability

If Normac determines that the Product was defective within the scope of the warranty, Normac may repair or replace the defective portion of the Product. The Purchaser is responsible for incidental costs associated with a claim.

The remedies described herein are the Purchaser’s sole and exclusive remedy.

Normac shall not be liable for indirect, special, incidental, punitive, or consequential damages, including lost profits, business interruption, or labour costs.

All statutory, express, and implied warranties — including merchantability and fitness for a particular purpose — are disclaimed to the maximum extent permitted by law.

9. Returns

Normac does not accept the return of opened or used Products. Unopened Products may be returned only with prior written authorization and may be subject to a restocking fee.

10. Use of Products

The Purchaser is responsible for ensuring Product selection and suitability for its intended application. All Products must be stored, handled, and applied according to Normac installation instructions, technical documentation, and safety requirements.

11. Compliance with Laws

The Purchaser is responsible for ensuring compliance with all applicable laws and regulations in the jurisdiction where the Product is used.

12. International Sales

For international orders, the Purchaser is responsible for customs fees, duties, import taxes, documentation requirements, and compliance with import regulations. Normac assumes no responsibility for delays resulting from customs processing.

13. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario, Canada, without regard to conflict-of-law rules. The Purchaser agrees that all disputes shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.

14. Modifications

Normac may update or revise these Terms at any time without prior notice. The version posted on the Normac website at the time of purchase shall apply.
